Wow! Stagecoach shares up 35% today. Seems to keep Stagecoach 'independent', just under new ownership. Bet National Express are pi**ed off. Or perhaps CMA were being difficult.
Let's hope the new owner - assuming this goes through - is as patient and positive as the press release suggests. Wouldn't want a 'dead weight' shareholder like DB with Arriva.

I never understood the numbers in the Stagecoach Nat Express deal, and why Nat Express was valued SO much higher than Stagecoach in the calculations. I'm not surprised another offer has arrived

The Disposal does not automatically terminate as a result of the Offer and Stagecoach continues to comply with its contractual obligations to CDG. For confidentiality reasons it has not been practicable for Stagecoach to discuss the implications of the Offer on the Disposal with CDG in advance of this Announcement but Stagecoach will now do so and provide an update in due course.

They appear to be saying it might go ahead, but it might not. Obvioulsy the need for it to happen isnt there now.

There are a range of ways that private equity operates, however it's mostly focused on working towards the time when it'll be sold on again with 5 years cycles being popular. Stagecoach was fairly lean anyway, however it's also difficult to see where you can massively grow the business given the current environment for public transport without there's an expectation they can buy other operators cheaply in some area that the MMC wont complain about.

The usual tricks are a sale and leaseback of properties or any other assets (e.g. fleet) - as you say, there's not a lot of obvious fat to remove

I wonder if NatEx will react by going into competition with them in any of their local bus areas in the hope that they'll withdraw? Harder than buying them, but if they've got decent spare resources...

I don't think they have got any more drivers than anyone else at the moment.

I always thought that National Express would have been better off with either Go ahead or Arriva then they would have been able to expand more

Go Ahead would be a good fit and with their current financial problems and might welcome it, also no competition issues unless you include nat/express coaches versus some rail lines.
Arriva - currently owned by a German parent group so might favour another German company but has a lot of other operations in europe.

Why on earth would they do that?
I don't think they have got any more drivers than anyone else at the moment.
Absolutely right - and with fuel prices going through the roof and a dearth of passengers....? I know Stagecoach are not quite the firm they were but they are hardly some overly weakened beast.

Wasn't the reason for them wanting to purchase Stagecoach being a desire to get into local bus away from the West Midlands?

I thought the deal was intended to make NatEx too large for a hostile takeover by the likes of Flixbus.

and passengers, across key aspects of the business including onboard technology and safety; scheduling, network and route
planning; and congestion management.
The Combination also provides a compelling opportunity to be a strategic
accelerator for the Combined Group, with increased scale and financial
flexibility facilitating accelerated growth investment in an attractive and
diversified £1.5 billion global pipeline of opportunities, in particular, in
National Express's North American and ALSA businesses.
Financial Rationale for the Combination
The National Express Board expects that, as a direct result of the
Combination, the Combined Group will be able to realise significant run-rate
annual pre-tax cost synergies of at least £45 million, with approximately 25
per cent. achieved by the end of the first year, approximately 85 per cent.
by the end of the second year and full run rate by the end of the third year
following completion of the Combination. It is expected that the realisation
of these identified synergies will require one-off costs of up to approximately
£40 million, broadly split equally across the first two years following
completion of the Combination.
In addition, the National Express Board is confident of the Combined Group
realising significant growth and revenue synergies, including accelerating
the expansion of National Express's growth businesses across the UK, as
well as utilising the expanded UK bus footprint to optimise sales and
marketing.
The Boards of National Express and Stagecoach believe that the
Combination will result in significant value creation for both sets of
shareholders, reflecting a combination of the agreed Exchange Ratio and
the significant synergy potential of the Combination.

margins and cash flow generation potential, capable of generating strong
and sustainable returns for shareholders.
The Board of National Express believes that the stronger balance sheet of
the Combined Group and its enhanced cash flow generation potential will:
• accelerate a reduction towards National Express Group's current 1.5-
2.0x gearing target, which it expects to reach during the first full
financial year after completion of the Combination, whilst
maintaining a strong Baa2/BBB investment grade credit rating;
• generate significant additional capacity for growth investment in an
attractive and diversified £1.5 billion global pipeline of
opportunities, in particular, in National Express's North American
and ALSA businesses; and
• provide enhanced capacity for an attractive and growing dividend.
The Boards of National Express and Stagecoach recognise the importance
of shareholder returns. The Board of National Express intends to reinstate
an annual dividend as soon as it is appropriate to do so and is targeting
reinstatement after completion of the Combination.
The Board of National Express expects the Combination will result in double
digit EPS accretion and a double-digit pre-tax return on invested capital, in
the first full financial year after completion of the Combination.
So it was principally about being larger to accrue savings in back office, having better access to capital for investment etc.

Apart from the odd skirmish around Nuneaton, I don't see anything in terms of a competitive backdrop for NX against Stagecoach. They have neither the physical resources nor the inclination, and if they wished to pick on someone, there are at least two other, weaker businesses that would be more vulnerable (and I don't see them going into competition against them either)

If anything, DB has had Arriva up for sale for some time now, so I’m surprised NX hasn’t looked to take them on instead. Then again, Arriva seems to be a bit of a basket case, and looks smaller and more run down than it has ever looked before.

Which is no doubt exactly why buyers haven't been queuing up to buy it.

I guess the Megabus disposal (or not) to CDG may well come down how much CDG actually want Megabus i.e. how much they are willing to pay.

Note some rather fluffy wording (my bold) from DWS in the bid statement released by the Stagecoach board. Plenty of uncertainty and future get out reasons for DWS selling it on in the future...
DWS Infrastructure has a strong conviction about the UK bus market opportunity on the back of the introduction of Enhanced Partnerships and potential Franchising arrangements expected to drive increases in bus patronage and improvements in the quality of the service of the network.

I would ask everyone to avoid speculation about what other bus groups will do should this new offer be accepted. Either use one of the existing group threads or start a new thread if appropriate.
